Welcome to ClearLightAI, operated by Russell International Consulting ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your use of our website at clearlightai.com and our AI automation, content generation, and consulting services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, then you may not access the Service.

ClearLightAI provides AI-powered services including:

• Automation services and workflow optimization
• Content generation using artificial intelligence
• AI consulting and strategic advisory services
• Integration with Google services (Drive, Gmail, Analytics, Cloud Services)
• Data analysis and processing using AI models

By using our Service, you agree to:

• Provide accurate and complete information when registering for or using the Service
• Use the Service only for lawful purposes and in accordance with these Terms
• Not use the Service to transmit any harmful, illegal, or objectionable content
• Maintain the security of your account credentials and Google OAuth authorizations
• Comply with all applicable laws and regulations
• Respect intellectual property rights of others

When you authorize our Service to access your Google services through OAuth authentication, you understand and agree that:

• We will access and process your Google data solely to provide our AI services
• Your data may be processed using third-party AI services including OpenAI API
• We will store your data securely in our vector database hosted on Supabase
• You can revoke access to your Google services at any time through your Google account settings
• Our data processing practices are governed by our Privacy Policy

The Service and its original content, features, and functionality are and will remain the exclusive property of Russell International Consulting and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

You retain ownership of any content you provide to us. By using our Service, you grant us a limited, non-exclusive license to use, modify, and process your content solely for the purpose of providing our services to you.

Payment terms for our services will be specified in separate service agreements or invoices. You agree to pay all charges incurred under your account. We reserve the right to change our pricing at any time with reasonable notice.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RUSSELL INTERNATIONAL CONSULTING, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT, OR OTHERWISE) SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY AI-GENERATED CONTENT.

We may terminate or suspend your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may simply discontinue using the Service and revoke our access to your Google services.

Upon termination, we will delete your data from our systems within 30 days unless legally required to retain it.

These Terms shall be interpreted and governed by the laws of Indonesia, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Indonesia.

You agree to defend, indemnify, and hold harmless Russell International Consulting and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
